Item 8.01 Other Events.
On May 10, 2023, GXO Logistics, Inc. (the “Company”) filed its Form 10-Q for the quarter ended March 31, 2023 (the “Form 10-Q”). The cover page of the Form 10-Q incorrectly indicated that there were 181,072,412 outstanding shares of the Company’s common stock as of May 8, 2023. The correct number of shares of the Company’s common stock outstanding as of May 8, 2023, was 118,927,588.
